Effective Date: July 9, 2026     |     Last Updated: [August 10, 2026

These Terms & Conditions (“Terms”) govern your access to and use of the websites, online courses, certification programs, assessments, downloadable materials, and related services (collectively, the “Services”) offered by [Halli P Adams LLC], doing business as Vector360 · Future-Ready Workforce Training (“Vector360,” “we,” “us,” or “our”). By creating an account, purchasing, enrolling in, or otherwise using the Services, you (“you,” “your,” or the “Customer”) agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity.

1. Definitions

•      “Content” — all courses, lessons, videos, workbooks, quizzes, exams, assessments, downloadable materials, certificates, and other materials made available through the Services.

•      “Certificate” — a certificate of completion or certificate of knowledge issued upon meeting the stated requirements for a course.

•      “Learner” — an individual who accesses Content under an account, including individuals enrolled by a business Customer.

•      “Subscription” — a recurring, auto-renewing plan that provides access to designated Content for successive billing periods.

2. Eligibility & Accounts

•      You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or maintain an account.

•      You agree to provide accurate, current information and to keep your login credentials secure. You are responsible for all activity that occurs under your account.

•      Accounts are personal and non-transferable. Unless you hold a team or seat license, one account is intended for one Learner.

•      Notify us promptly at [Contact Email] of any unauthorized use of your account.

3. Enrollment, License & Acceptable Use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Content for your own personal or internal business training and professional development. You agree that you will not:

•      Share, sell, sublicense, rent, or transfer your account or access to any other person;

•      Reproduce, distribute, publicly display, broadcast, or create derivative works from the Content;

•      Record, download (except where expressly permitted), scrape, or systematically extract the Content;

•      Use the Content to develop, train, or operate a competing course, product, or service;

•      Remove or alter any copyright, trademark, or other proprietary notices; or

•      Access the Services in any manner that violates applicable law or these Terms.

4. Team, Seat & Business Licenses

•      Businesses may purchase seats to enroll their employees or personnel. The purchasing Customer is responsible for its Learners’ compliance with these Terms.

•      Each seat is assigned to a single named Learner. Reassignment of a seat to a different individual is permitted only as described at checkout or in the applicable order form or invoice.

•      Volume, enterprise, or bulk terms, where offered, are governed by the applicable order form or invoice, which controls over conflicting terms here.

5. Certifications & Credentials

•      Certificates are awarded automatically upon a Learner meeting the stated requirements for a course, such as achieving the required passing grade on the final exam.

•      Certificates represent completion of Vector360 professional-development training. They do not constitute a government license, accreditation, academic degree, or legally required certification, and do not imply endorsement by any regulatory or accrediting body, unless expressly stated in writing by Vector360.

•      We make no guarantee of employment, promotion, continuing-education credit, licensure eligibility, or any specific outcome resulting from completion of a course or receipt of a Certificate.

•      We may verify the authenticity of any Certificate and may revoke a Certificate obtained through fraud, error, or violation of these Terms.

6. Pricing, Payment & Taxes

•      All prices are stated in U.S. dollars unless otherwise noted, and may change at any time. The price applicable to your purchase is the price displayed at checkout.

•      Payments are processed by third-party payment providers through our platform provider. By purchasing, you authorize us and our providers to charge your selected payment method.

•      You are responsible for any applicable sales, use, VAT, or similar taxes associated with your purchase.

7. Subscriptions & Auto-Renewal

•      Subscription plans automatically renew at the end of each billing period until cancelled. You authorize recurring charges at the then-current rate for each renewal period.

•      You may cancel at any time through your account settings or by contacting [Contact Email]. Cancellation stops future renewals and takes effect at the end of your current paid billing period; your access continues until that period ends.

•      We may change subscription pricing or features with reasonable advance notice. Continued use after a price change takes effect constitutes acceptance of the new price.

8. Refund Policy

•      One-time course purchases: You may request a full refund within fourteen (14) days of purchase, provided that (a) you have completed less than 25% of the course, and (b) no Certificate has been issued to you for that course. Requests made after 14 days, after you have completed 25% or more of the course, or after a Certificate has been issued are not eligible for a refund.

•      Subscriptions: You may cancel at any time to stop future billing. Fees already paid for the current billing period are non-refundable, and your access continues until the end of that period.

•      Bulk & enterprise orders: Refunds for seat, team, or enterprise purchases are governed by the applicable order form or invoice.

•      How to request: Email halli@myvector360.com with your order number and account details. Approved refunds are issued to the original payment method.

•      Chargebacks: Please contact us before initiating a chargeback. Chargebacks filed without first contacting us, or filed in bad faith, may result in suspension or termination of your account and access.

9. Intellectual Property

All Content, course materials, trademarks, logos, and the compilation and arrangement of the Services are owned by Vector360 or its licensors and are protected by intellectual-property laws. Except for the limited license granted in Section 3, no rights are transferred to you.

10. Third-Party Services

The Services are delivered in part through third-party platforms and payment processors (for example, our course-hosting and payment providers). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the acts, omissions, or availability of third-party services.

11. Disclaimers

The Services and Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Content is provided for educational and professional-development purposes only and does not constitute legal, financial, medical, or other professional advice. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Vector360 and its owners, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of the Services. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vector360 and its owners, employees, and licensors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your Content submissions, or your violation of these Terms or applicable law.

14. Suspension & Termination

We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms or engage in conduct that harms Vector360, other users, or our providers. Upon termination, your license to access the Content ends. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive. No refund is owed upon termination for cause.

15. Privacy

Your use of the Services is also governed by our Privacy Policy, available at [Privacy Policy URL], which explains how we collect, use, and protect your information.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or notifying you by email. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of those courts. Before filing any claim, the parties agree to first attempt to resolve the dispute informally by contacting [Contact Email].

18. Miscellaneous

•      Entire Agreement. These Terms, together with any order form, invoice, or policy referenced here, are the entire agreement between you and Vector360 regarding the Services.

•      Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.

•      No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

•      Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

•      Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
